Please read these Terms of Service ("Terms") carefully before using the ProBelt mobile application, website, and services (collectively, the "Services") operated by ProBelt ("we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Services.

1. Accounts and Registration

To use certain features of the Services, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and accept all risks of unauthorized access
• Notify us immediately of any breach of security or unauthorized use of your account
• Be responsible for all activities that occur under your account

2. Use of Services

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to use our Services for your internal business purposes. You agree not to:

• Use the Services for any illegal purpose or in violation of any laws
• Interfere with or disrupt the integrity or performance of the Services
• Attempt to gain unauthorized access to the Services or related systems
• Reverse engineer, decompile, or disassemble any portion of the Services
• Upload or transmit viruses, malware, or other harmful code
• Scrape, crawl, or use automated means to access the Services without permission

3. Subscription and Payments

Some features of the Services may require payment. You agree to:

• Pay all fees associated with your subscription plan
• Provide valid payment information and authorize us to charge your payment method
• Understand that fees are non-refundable except as required by law or as explicitly stated
• Accept that we may change pricing upon reasonable notice

During the beta period, access may be provided free of charge. We reserve the right to introduce fees upon transition from beta.

4. Data and Content

You retain ownership of all data, content, and materials you upload to the Services ("Your Content"). By uploading Your Content, you grant us a license to use, store, and process it solely for the purpose of providing and improving the Services.

You represent and warrant that:

• You own or have the necessary rights to Your Content
• Your Content does not violate the rights of any third party
• Your Content complies with all applicable laws and regulations

5. Intellectual Property

The Services and their original content, features, and functionality are and will remain the exclusive property of ProBelt and its licensors. The Services are protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used without our prior written consent.

6. Third-Party Integrations

Our Services may integrate with third-party services (e.g., QuickBooks, Twilio). Your use of such integrations is subject to the third parties' terms and policies. We are not responsible for the availability, accuracy, or practices of third-party services.

7. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Services will immediately cease.

You may terminate your account at any time by contacting us. Certain provisions of these Terms shall survive termination, including ownership, warranty disclaimers, indemnity, and limitations of liability.

8. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. We do not warrant that:

• The Services will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Services will be accurate or reliable
• Any errors in the Services will be corrected

You use the Services at your sole risk.

9. Limitation of Liability

To the maximum extent permitted by law, ProBelt and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Services.

Our total liability for any claims under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100 if you have not made any payments.

10. Indemnification

You agree to defend, indemnify, and hold harmless ProBelt and its affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of or in connection with your use of the Services, your Content, or your violation of these Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Miami-Dade County, Florida.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time. Material changes will be notified via the app or email at least 30 days before taking effect. Your continued use of the Services after changes constitutes acceptance.
